The Governing Council oversees and provides strategic direction to the management team. The Council has various committees, enabling it to give special attention to various aspects of the operations of the Exchange.

Kofi is a seasoned banking professional renowned for his leadership and experience in international, regional, and domestic financial institutions. For the past seventeen years, he has held executive management positions, developing formidable teams, driving strategic initiatives, and achieving organisational objectives.
Before assuming his role at GCB Bank in November 2020, Kofi served as the Director and Global Head for Project and Asset-Based Finance at the African Export-Import Bank (AFREXIMBANK) in Cairo for eleven years. Prior to that, he held executive leadership positions at Barclays Bank Ghana Limited (now ABSA Bank), Ecobank Ghana Limited, and the erstwhile Trust Bank Limited.
Kofi’s expertise covers Corporate/Institutional Banking, Transaction Banking, Development Finance, and Project and Export Finance. He has a proven track record of delivering business transformation and achieving high-value outcomes.
Notably, Kofi has led and structured various transactions exceeding USD 10 billion across various sectors, including manufacturing, health, telecommunications, energy (oil and gas), transportation (ports, airports, rails, and roads), mining, and agriculture across multiple countries in Africa. Recognised for his inspirational and dynamic leadership style, Kofi nurtures collaboration and develops high-performance teams to drive significant business growth even during uniquely challenging situations.
Kofi has acquired extensive executive education from prestigious institutions, including Harvard Business School and INSEAD. He also holds an Executive Master’s degree in Business Administration and a Bachelor of Science in Agriculture, with a major in Economics, both from the University of Ghana. He completed his Ordinary and Advanced Level education at St. Augustine’s College, Cape Coast, between 1979 and 1986.
Beyond his professional endeavours, Kofi is a devoted family man, married with two children. He has a strong passion for sports as an avid supporter of Manchester United and Kumasi Asante Kotoko football clubs.
Ms. Amoah is an accomplished investment banker and capital markets expert who has led on many landmark transactions for more than 20 years.
Abena’s experience covers stock market listings and trading, mergers and acquisitions advisory, investment research, asset management, private placement of equity, debt and hybrid instruments, large infrastructure project development, business start-ups and incubation, public education on investment and financial matters, and capital markets development strategies, across diverse sectors of the Ghanaian environment.
She has served on boards of companies – publicly listed, private and not-for-profit – such as Access Bank PLC, African Women’s Development Fund, Ghana Stock Exchange, Ghana Petroleum Funds, Kosmos Energy Ghana HC Advisory Council, The Foschini Group Ghana Ltd, University of Ghana Council, Venture Capital Trust Fund and Wapic Insurance Ghana Ltd. She has been an advisor to the Government of Ghana and financial sector regulators in West Africa on the deepening of financial markets, and is highly respected in her industry for her outstanding professionalism and integrity.
Abena started her career as an investment analyst and stockbroker, growing to build and lead top investment banks in Ghana. She has previously worked with the BlackIvy Group LLC, where she led development of the 400-acre WestPark Industrial Park at Shama in the Western Region; Renaissance Group, where she was CEO of NewWorld Renaissance Securities Ltd and Head of Investment Banking & Finance in West Africa (ex-Nigeria) for Renaissance Capital; and Strategic African Securities Ltd, where she was the Executive Director of the company.
Abena is an alumna of the University of Ghana Business School, and has also undertaken academic and leadership studies at the Stanford Graduate School of Business, Harvard Business School and the University of Denver’s Daniels College of Business, all in the USA. She was a founding executive of the Ghana Securities Industry Association, an Authorised Dealing Officer of the Ghana Stock Exchange and an Assessor (Capital Markets Expert) of the Commercial Division of the High Court of Ghana.
His responsibility as Deputy Managing Director is to provide leadership and strategic direction for the various operational departments of the Exchange.
Since joining the Exchange in January 2004, Frank has held diverse roles in finance, operations, administration, recruitment & human capital management, surveillance, and clearing & settlement.
He has had extensive professional experience in business strategy and capital market regulation including study tours to many Stock Exchanges in Africa, America, Asia, and Europe.
A chartered accountant by profession, Frank has additional chartered qualifications in taxation, financial economics, and wealth management. He is a Fellow of the Chartered Institute of Taxation, Ghana, and a member of the Institute of Chartered Accountants, Ghana, Association of Certified Chartered Economics, USA and Global Academy of Finance & Management, USA.
In addition, he holds the chartered management accounting qualification and membership of the Chartered Institute of Management Accountants (CIMA), UK. Frank is also a Chartered Global Management Accountant (CGMA) with the Association of International Certified Professional Accountants (AICPA), the largest global accountancy body that combines the strength of the American CPA and the British CIMA.
Frank holds a Master of Philosophy degree in Economics from the University of Cape Coast; and a Bachelor of Commerce degree, done concurrently with Diploma in Education, from the same University.
He currently serves on the board of the Central Securities Depository (Ghana) Ltd.
She joined Norfund in 2017 and is the Regional Director, West Africa and a Member of Norfund’s 6-person (Global) Credit Committee. She is responsible for Norfund’s strategy and its execution across all countries in West Africa. Norfund is Norway’s development finance institution which does private equity and private credit investing for commercial returns and development impact in sub-Saharan Africa, in industries including financial institutions, manufacturing, agribusiness, renewable energy, services and green infrastructure.
She has previously worked as Investment Director at Sagevest Holdings, an investment holding company making private equity investments in Ghana; as Vice President, Developments & Investments at Travant Real Estate, Lagos, Nigeria; as Senior Brand Manager at the Timberland Company, USA; as Marketing Manager at CVS Corporation, USA and as Financial Analyst, Investment Banking at Goldman Sachs & Co, USA.
She currently serves as a non-executive director on the board of CBI Ghana Ltd, a cement manufacturer in Ghana, as a member of Harvard Business School’s Africa Advisory Board and as a member of Verod Capital (a West-African private equity investor) Fund III’s Advisory Committee. She was previously a member of the Investment Advisory Committee of the Ghana Petroleum Funds, the sovereign wealth fund of Ghana.
Naana holds a Master in Business Administration degree from Harvard Business School and a Bachelor of Arts Degree in Economics from Vassar College. She also possesses a Certificate in Board Direction from the Institute of Directors (UK).
As Executive Director providing strategic and visionary leadership at SIC Brokerage for over a decade now, Seth has led various business development programmes including processes leading to the listing of a number of companies on the Ghana Stock Exchange. He has also headed a team to establish Provident Fund Schemes for a number of associations whose members are on the payroll of the Government of Ghana.
Seth holds an Executive MBA in Banking and Finance from the Paris Graduate School of Management, Paris France and a degree in BSc Admin in Banking and Finance from the University of Ghana, Legon. He has undertaken a course and holds a certificate in Domestic Debt Management in West Africa, jointly organized by the West African Institute of Finance and Economic Management/United Nations Institute of Training and Research (WAIFEM/UNITAR). He is an avid writer of stock market articles in both local and international newspapers and magazines.
Currently serving as the Executive Director for Retail and Digital Banking at Access Bank (Ghana) PLC, she spearheads the bank’s digital strategy and retail growth, significantly impacting leadership and strategic implementations to meet financial objectives and enhance shareholder value. Pearl has a passion for creating solutions for clients that enhance growth and value. Additionally, she serves as a Council Member on the Ghana Stock Exchange, advocating for Listed Companies.
Pearl's commitment to lifelong learning is evident in her diverse academic pursuits. She holds an MBA and a BSc in Business Administration (Marketing) from the University of Ghana, an LLB from the Ghana Institute of Management and Public Administration and has completed executive leadership programs at Harvard Business School. Additionally, her commitment to sustainable business practices is highlighted by a recent certificate in Environmental, Social, and Governance (ESG).

From 2015 to 2017, Audrey worked at N Dowuona & Co, a corporate and commercial law firm in Ghana where she advised on several large financial market transactions, listed security transactions, and dealt with tax matters on behalf of clients. Prior to this, she was Manager, Finance and Operations at Synergy Capital (Gh) Ltd from 2012 to 2015.
Audrey also worked at PwC from 2005 to 2011, where she honed her strong financial and analytical skills. She worked on complex liquidations, insolvency and restructuring assignments as well as corporate finance transactions. Notable among them are the liquidations of Ghana Airways Ltd and Plant Pool Ltd as well as due diligence assignments involving large public bodies such as Merchant Bank Ghana and the Volta River Authority (VRA).
Audrey currently serves on the boards of Metropolitan Life Insurance and Metropolitan Pensions Trust. She has previously served on the boards of the Ghana Association of Savings and Loans Companies, Metropolitan Health Insurance and Balmar Inc Technologies. Audrey has also served as the Chairperson of the Association of Certified Chartered Accountants (ACCA) Members Network Panel for Ghana and has also chaired and served on a member of notable professional committees of the Ghana Association of Restructuring and Insolvency Advisors (GARIA). Audrey is also an Expert Columnist with the Business and Financial Times.
Audrey is a licensed Barrister and Solicitor of the Supreme Court of Ghana. She holds a Professional Baccalaureate in Law (BL) from the Ghana School of Law; a Bachelors in Law (LLB) from the University of Ghana Faculty of Law; and a BA in Psychology and Economics, from the University of Ghana (Legon).
She is also an experienced Chartered Accountant and a member of the Association of Chartered Certified Accountants (ACCA) UK and the Institute of Chartered Accountants Ghana (ICAG). She is also a member of the Ghana Bar Association (GBA), Institute of Directors (UK), the Ghana Association of Insolvency and Restructuring Advisors (GARIA) and undergoing a charter from the Chartered Institute of Taxation (CIT).
Benjamin is a Registered Securities Dealer of the Ghana Stock Exchange, a CIMA Associate member and a Chartered Global Management Accountant. He holds an MBA in Finance from the Ghana Institute of Management and Public Administration (GIMPA) and a BSc. in Chemistry from the University of Ghana.
Frederick’s leadership over the period revitalized Vanguard Assurance, earning him well-deserved industry recognition as the CEO of the Year in both the Ghana Insurance Awards (Non-Life category) in 2022 and the Ghana CEO Awards (Insurance Category) in 2023. Prior to joining Vanguard Assurance, he worked for Sanlam Insurance Ghana Limited as the Chief Operations Officer, where he was responsible for steering the company’s Technical Operations.
Frederick is a Chartered Insurer and an Associate of the Chartered Insurance Institute, UK and a Fellow of the Chartered Insurance Institute of Ghana. He also holds an MBA and BA in Economics and Law, both from the Kwame Nkrumah University of Science and Technology. In addition, he holds a Group Diploma in Marketing awarded by the London Chamber of Commerce and Industry (LCCI). Frederick is currently a doctoral student at Noble International Business School (NIBS).
Being passionate about Innovation, Governance and Sustainability, he prioritizes sustainability and responsible practices that ensure a harmonious integration of business goals with environmental, social, and governance (ESG) considerations. He currently serves on the Boards of Vanguard Assurance Company Limited, West African Insurance Companies Association (WAICA), Ghana National Bureau – ECOWAS Brown Card Insurance Scheme and the Clients Rescue Fund (CRF). Frederick is an avid reader and football enthusiast.
Prior to joining the Exchange, Akua practiced at the law firm, Bentsi-Enchill, Letsa & Ankomah, where she worked on local and international transactions in the energy, petroleum, and mining sectors. She has also previously worked in Human Resources and Administration at AngloGold Ashanti Limited.
Akua holds a Master of Laws Degree (LL.M.) from Columbia University, New York; a Bachelor of Laws Degree (LL.B.) from the University of Ghana; and a Bachelor of Arts Degree (B.A.) in Management and Psychology, also from the University of Ghana. In addition, she holds a Qualifying Certificate in Law from the Ghana School of Law, where she was awarded the Best Graduating Student in the Law of Taxation at her call to the bar.
She has received legal and capital market training from reputable institutions such as Clifford Chance, U.K; International Law Institute in the U.S.A; and the International Capital Market Association (ICMA). She is a member of the Ghana Bar Association and the International Bar Association.
